END USER LICENSE AGREEMENT (EULA)
ACI Command Line Tool
Effective Date: June 17th, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "you") and Good Gateway LLC ("Licensor") for the use of the ACI Command Line Tool software application, including any associated media, printed materials, and "online" or electronic documentation ("Software").

By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. LICENSE GRANT

Good Gateway LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business or personal use.

    Trial Period: The Software is provided free of charge for a designated trial period beginning from the date of initial installation.

    Post-Trial License: Continued use of the Software beyond the designated trial period requires purchase of a valid license. Failure to pay for a license will automatically terminate this Agreement, and you must cease all use of the Software.

2. RESTRICTIONS

You may not:

    Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.

    Sell, rent, lease, sublicense, distribute, or otherwise transfer the Software to any third party.

    Modify or create derivative works of the Software.

    Use the Software to provide services to third parties, such as in a service bureau or time-sharing arrangement, without prior written consent from Licensor.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold. Good Gateway LLC retains all right, title, and interest in and to the Software, including all associated intellectual property rights.

4. TERMINATION

This Agreement will automatically terminate at the end of the designated trial period unless a paid license is purchased. Good Gateway LLC may also terminate this Agreement immediately if you breach any term of this Agreement. Upon termination, you must uninstall and destroy all copies of the Software.

5. NO WARRANTIES

The Software is provided “AS IS” without any warranty of any kind, whether express, implied, or statutory. Good Gateway LLC disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Good Gateway LLC be liable for any damages arising out of or related to your use or inability to use the Software, including but not limited to loss of profits, data, or business opportunities, even if Good Gateway LLC has been advised of the possibility of such damages.

7. UPDATES AND SUPPORT

Licensor may, at its discretion, provide updates or enhancements to the Software. All such updates are subject to the terms of this Agreement. Licensor is not obligated to provide support services.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the State of North Carolina, without regard to its conflict of laws principles.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Good Gateway LLC regarding the Software and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
